Mentoring Terms and Conditions

In order to apply as a Mentor in Femme Palette mentoring Program (the “Program”) you must submit this form. By submitting the form, you agree to be bound by the terms and conditions set forth below. Submission of the form constitutes a legal agreement (the “Agreement”) between you and Femme Palette so please read the terms and conditions carefully. If you do not agree to all the terms and conditions, then please close the form without submitting it. 

  1. Eligibility Requirements. Mentors will be selected based on the review criteria for the Program. To be eligible to participate in the Program, you must be 18 years of age or older. You must be ready to commit to 12 hours of mentoring + 20 min chemistry call within 6 months. You also agree that you will communicate with the mentees and Femme Palette team in a timely manner and fill out mid-program and final feedback forms during your mentorship.
  2. Selection. You agree that Femme Palette selects mentors at its sole discretion and there is no guarantee that you will be selected as a mentor. The selection criteria are confidential. Femme Palette may terminate your right to be a mentor at its reasonable discretion if you breach this Agreement, or it receives negative feedback about your mentorship. 
  3. Payment conditions: Please note that the mentees pay to be part of the program to help Femme Palette cover the operational cost of running the Program. This also ensures that the mentees are truly invested and don’t waste your time. Femme Palette has a mentor tiering system in place that rewards the mentors who keep mentoring within the Program. You can earn different benefits if you keep mentoring within the Program, starting with mentor spotlights on Femme Palette social media to giving an (almost) full scholarship to a mentee in need. If you want to be paid for mentoring, you have to mentor first one mentee on volunteering basis, receive a good review and then you can request to be paid. We'll approve or decline your request based on the suitability of your profile for our company clients.
  4. Confidentiality. Confidential Information means any and all information of Femme Palette, the Mentee or any third party affiliated with the Mentee (collectively the “Provider”), which has not been designated as public by the Provider, regardless of the form and manner of its disclosure. Confidential information includes, in particular but not exclusively, information about processes, methods, know-how, designs, discoveries, trade secrets, and other information that could constitute the subject matter of intellectual property rights, information on financial and economic situation, plans for further development, business strategies and marketing plans, security measures, information about employees, customers, products, or suppliers. You undertake to maintain the confidentiality of all confidential information. By maintaining confidentiality it is meant that you shall not disclose confidential information to any third party, and you shall not use the confidential information for any purpose other than that for which it was provided. In particular, you shall not use the confidential information in connection with your business activities for yourself or for another. The obligation of confidentiality shall continue for the duration of the trade secret and in relation to other confidential information for the duration of the Agreement and for another 5 years after its termination. Upon Provider’s request, You shall return or destroy all copies of confidential information.
  5. Privacy. You will be asked to provide personal information about yourself in the submission to the Program. You may also be asked to provide personal data to be matched with mentees. Data collected pursuant to this Agreement will be treated in accordance with Femme Palette’s Privacy Policy, which is incorporated by reference into this Agreement and which can be viewed at https://www.femmepalette.com/gdpr.
  6. Conflict of interest. You are obliged to disclose any conflict of interest or potential conflict of interest to Femme Palette as soon as such conflict of interest arises. A conflict of interest is a matter in which Your interests are in conflict with the duty to act in the best interest of a mentee or any third party affiliated with the mentee or to the detriment of mentee, or any third party affiliated with the mentee.
  7. Non-solicitation. Except as provided herein, during the term of the Agreement and for 1 year after its termination, you shall not, directly, or indirectly, on your own behalf or on behalf of a third party, in any way encourage or induce the mentee to terminate cooperation with its employer or client or to terminate its other relationship with these (for example, a work contract). The only exception is if it is explicitly the mentee’s goal to find a different job.
  8. Indemnity. By participating in the Program, you agree, to the extent permitted by law, to indemnify and hold harmless Femme Palette, the Mentee and their directors, officers, employees, affiliates, agents, contractors, and licensors with respect to any claims arising out of your breach of the Agreement, especially the obligation of confidentiality, any representations or warranties made by you herein, or your other improper, unauthorized, or unlawful use of the Program. To the fullest extent permissible, the obligations under this paragraph shall survive termination of the Agreement.
  9. No employee or partnership. Your participation in the Program is voluntary unless you choose otherwise in the application process to be a paid mentor. Unless You agree with Femme Palette otherwise, your participation is also free of charge. If you select to be a paid mentor, Femme Palette may in its sole discretion provide you with remuneration based on the paid mentor rules. You understand and agree that nothing in this Agreement may be construed as an offer or contract of employment with Femme Palette. Nothing herein contained shall be deemed or construed to create any employee/employer relationship, partnership, or an agency relationship between you and Femme Palette.
  10. Termination. Femme Palette may terminate this Agreement at any time with or without cause, immediately upon written notice to you.  You may terminate this Agreement by giving a written notice to Femme Palette, in such case the Agreement shall terminate upon completion of all mentoring programs with your mentees.
  11. Compensation and Conduct Clause: Mentors participating in the Femme Palette mentoring program agree not to request or require any additional payment, compensation, or financial contribution from their mentees outside of the official program fees managed by Femme Palette. Any such request is strictly prohibited and may result in immediate removal from the program and future opportunities with Femme Palette.
  12. Governing Law. You expressly agree that the laws of Czech Republic, excluding its conflicts of law rules, govern the Agreement and your participation in the Program, and that the exclusive jurisdiction for any proceeding relating in any way to your participation will be the courts of Czech Republic. You hereby waive the right to object to the foregoing choice of law, personal jurisdiction, or venue.
